This End User License Agreement ("Agreement") is a binding legal contract between you (the "User") and A Secret Company, LLC ("Company," "we," "us") regarding your use of the NowThis mobile application and any associated extensions, widgets, or companion apps (collectively, the "App").

By purchasing, installing, accessing, or using the App, you agree to be bound by these terms. If you do not agree, do not install or use the App.

1. Scope of License

Upon purchase from the Apple App Store, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use the App on any Apple-branded products that you own or control, solely for your personal, non-commercial use, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

2. Open Source Disclosures

The App is built on open-source software.

  • Source Code Availability: The source code for NowThis is available at opensource.nowthis.app and is licensed under the GNU General Public License v3 (GPLv3).
  • License Precedence: Nothing in this Agreement limits your rights under, or grants you rights that supersede, the terms and conditions of any applicable open-source license for the underlying source code. However, the compiled App binary distributed via the Apple App Store is governed by this Agreement, pursuant to the "App Store Exception" granted by the Company in the source code license.

3. How NowThis Works

NowThis is a native iOS task management app. It stores your data locally on your device and optionally synchronizes with a CalDAV-compatible server that you provide and control.

3.1 Local-Only Mode (Default)

You may use NowThis without connecting to any server. All data is stored exclusively on your device. No external service agreement applies beyond this EULA.

3.2 Self-Hosted CalDAV/Nextcloud Sync

You may connect NowThis to a self-hosted Nextcloud server or any CalDAV-compatible server to synchronize your tasks and journals across devices. You acknowledge that:

  • Nextcloud, CalDAV servers, and any other self-hosted sync infrastructure are Third-Party Software not developed, owned, or supported by A Secret Company, LLC.
  • We do not control these services and are not responsible for their performance, availability, or security.
  • You are solely responsible for the configuration, maintenance, and security of the server you connect to the App.
  • Your server credentials (authentication tokens) are stored in the iOS/macOS Keychain and transmitted only to your specified server.

A Secret Company, LLC shall not be liable for:

  • Data Loss: Any loss of tasks, journals, or other data resulting from server crashes, database corruption, or synchronization errors.
  • Server Security: Any unauthorized access resulting from weak passwords, unpatched software, or insecure network configurations on your server.
  • Compatibility: Any failure to function with modified, outdated, or beta versions of Nextcloud, CalDAV servers, or non-standard iCalendar implementations.
  • Sync Conflicts: Any data inconsistencies resulting from concurrent modifications across multiple devices or clients connected to the same server.

4. Purchase & Payment

NowThis is available as a one-time purchase on the Apple App Store.

  • Billing: Your purchase is processed entirely by Apple through the App Store. A Secret Company, LLC does not collect, process, or store any payment information (credit card numbers, billing addresses, or Apple ID credentials).
  • Refunds: Refunds are handled by Apple according to their App Store refund policy. To request a refund, visit reportaproblem.apple.com or contact Apple Support.
  • Family Sharing: If enabled for the App, Family Sharing is governed by Apple's policies.

5. No Company-Operated Cloud Service

Unlike many task management apps, NowThis does not operate or require any company-hosted cloud service. We do not store, process, or have access to your data at any time. The App functions entirely between your device and your own infrastructure.

6. Data Standards & Portability

NowThis stores and synchronizes data using open standards:

  • Tasks are stored as VTODO components per the iCalendar specification (RFC-5545).
  • Journals are stored as VJOURNAL components per the same standard.
  • Sync uses the CalDAV protocol (RFC-4791).

Your data is fully portable. You may use any CalDAV-compatible application to access, modify, export, or migrate your data at any time without restriction from us. We do not apply any proprietary formatting, DRM, or lock-in mechanisms to your data.

7. Device Permissions

The App may request access to the following iOS system features. All permissions are optional and may be revoked at any time in iOS Settings.

Revoking a permission may limit the corresponding functionality but will not affect other features.

8. Widgets & Extensions

NowThis includes a Home Screen/Lock Screen widget (NowThisWidget) that displays your tasks. The widget accesses the same local SwiftData store via the shared App Group container. No network requests are made by the widget independently.

9. Acceptable Use

You agree not to:

  • Reverse-engineer, decompile, or disassemble the compiled App binary, except as expressly permitted by the open-source license for the source code.
  • Use the App for any unlawful purpose.
  • Distribute modified copies of the compiled App binary through the Apple App Store or any other app marketplace without the Company's written consent. (You retain full rights to modify and distribute the source code under the terms of the GPLv3 license.)

10. No Warranty ("As Is")

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE APP IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

A SECRET COMPANY, LLC HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE APP, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS.

WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE, THAT DATA SYNCHRONIZATION WILL BE UNINTERRUPTED, OR THAT DEFECTS IN THE APP WILL BE CORRECTED.

11. Limitation of Liability

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL A SECRET COMPANY, LLC BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE).

CAP ON LIABILITY: IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID FOR THE APP.

12. Indemnification

You agree to indemnify, defend, and hold harmless A Secret Company, LLC and its officers, directors, employees, and agents from any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal fees, arising out of or in any way connected with:

  • Your access to or use of the App;
  • Your violation of these Terms;
  • Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property or privacy right;
  • Any dispute between you and your self-hosted server provider or any third-party CalDAV service; or
  • Any loss of data resulting from server misconfiguration, sync conflicts, or network failures on infrastructure you operate.

13. iCalendar Content

The App functions as a client for CalDAV servers and processes iCalendar data (VTODO, VJOURNAL, VEVENT components). We do not control, endorse, or assume responsibility for any content stored on your CalDAV server. You are solely responsible for ensuring that your use of the App complies with all applicable laws.

14. Termination

This Agreement is effective until terminated by you or the Company. Your rights under this Agreement will terminate automatically without notice from the Company if you fail to comply with any term(s) of this Agreement. Upon termination, you shall cease all use of the App and delete it from your devices.

15. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, USA, excluding its conflict of law principles.
